LIGHTHOUSE BILLING TERMS

These Lighthouse Billing Terms ("Billing Terms") apply when you purchase or manage a paid Lighthouse plan operated by Loop Technologies, Inc. These Billing Terms are incorporated into, and form part of, the Loop Terms of Service, which you accept when you set up Loop Wallet. Loop Wallet is required in order to subscribe to a paid Lighthouse Plan. By starting a paid subscription you accept these Billing Terms and authorize the recurring charges described below. Capitalized terms not defined herein have the meanings ascribed to them in the Loop Terms of Service.

2. Automatic Renewal and Payment Authorization

Paid Plans renew automatically at the end of each billing period until canceled. You authorize Loop Technologies, Inc. and Stripe to charge the payment method associated with your Stripe customer account for recurring subscription fees and any applicable taxes at the price and frequency you selected at checkout. Stripe shows the amount due before you confirm the initial purchase. Charges for Lighthouse subscriptions appear as LOOP TECHNOLOGIES on your card statement. Stripe's processing of your payment information is also subject to Stripe's own terms of service and privacy policy. To Cancel a subscription, please see Section 5 “Cancellation” below.

3. Plan Upgrades

An upgrade to a higher paid Plan takes effect after Stripe confirms the payment. Stripe calculates the prorated difference for the remaining part of the current billing period and shows the amount due before you confirm. The new plan price applies to later renewals.

4. Plan Downgrades

A downgrade to a lower paid Plan is scheduled for the end of the current billing period. Your current plan and its limits remain active until that date. The lower plan and its limits apply from the next billing period.

5. Cancellations

You can upgrade, downgrade or cancel your paid plan at any time from your Account page once you are signed in, using the "Manage billing & cancel subscription" option. No telephone call or email is required to cancel. Cancellation takes effect at the end of the billing period you have already paid for. Your paid access remains available until that date, and your Lighthouse account then moves to the free Plan.

6. Refunds

Subscription fees are generally non-refundable after a billing period begins, except where required by applicable law, where Loop Technologies, Inc. corrects a duplicate or incorrect charge, or where Section 4.9 of the Loop Terms of Service provides for a refund on termination of a paid Plan without cause. We do not provide prorated refunds for a scheduled downgrade or cancellation because the current paid Plan remains available through the end of the paid billing period. If you believe you were charged in error, contact us within sixty (60) days of the charge date; we will review and correct verified billing errors.

7. Failed Payments

Stripe may retry a failed recurring payment and ask you to update your payment method. Loop Technologies, Inc. may limit or suspend paid Plan access when payment remains overdue. Restoring payment does not guarantee recovery of data or activity that was unavailable while paid access was restricted.

8. Billing Disputes and Chargebacks

If you have a concern about a charge, please contact us first at the address in Section 13 so we can investigate. If you dispute a charge directly with your card issuer or bank instead of contacting us first, we may suspend or terminate your paid Plan access while the dispute is investigated. Repeated or fraudulent chargebacks are a material breach of these Billing Terms and may result in termination of your Account.

9. Taxes

Prices may not include taxes. When Loop Technologies, Inc. is required to collect sales tax, VAT, GST, or a similar charge, Stripe displays the applicable amount as part of the payment flow.

10. Plan Limits and Changes

API, monitoring, and other usage limits are shown on the Lighthouse Plan page. Use above a plan limit can be throttled or restricted. Loop Technologies, Inc. may update plan features, limits, or prices, and will provide reasonable advance notice before a material pricing change applies to a future billing period, consistent with the Loop Terms of Service.

11. Enterprise Plans

Enterprise plans are not billed through this self-serve flow. They are governed by a separate Order Form or agreement signed by both parties, which controls billing, term, and payment terms for that plan instead of these Billing Terms.

12. Governing Law

These Billing Terms are governed by the laws of Delaware, without regard to conflict-of-laws principles, consistent with the Loop Terms of Service.
